General Terms and Conditions
(GTC) of drone2bim AG
Version 2.1 – english Effective 2026
These General Terms and Conditions consist of Part 1 (Business Terms) and Part 2 (Website Terms of Use). Both parts are published together and form the complete contractual framework of drone2bim AG. In case of discrepancies or disputes, the German version of these GTC shall prevail.
PART 1 – BUSINESS TERMS
1. Scope
These General Terms and Conditions govern all contractual relationships between drone2bim AG (“drone2bim”) and its clients (“Client”). They apply to all services including drone surveying, photogrammetry, laser scanning, site surveying, 2D/3D modelling, BIM services, digital twins, AR/VR visualizations, AI workshops and consulting. Deviating Client terms apply only if drone2bim agrees in writing. These GTC also apply to future agreements.
2. Subject Matter and Scope of Services
The scope of services is defined in the offer, project agreement or written communication. drone2bim may engage third parties, including internationally operating subcontractors. Changes or extensions of services require written agreement and will be invoiced separately.
3. Client Obligations
The Client shall provide all necessary information, plans, access rights and permits in due time. Flight and site access permits must generally be obtained by the Client. The Client must ensure that no persons are endangered during drone or scanning operations. Delays caused by insufficient cooperation shall be borne by the Client.
4. Drone and Scanning Operations
Operations are performed in compliance with applicable laws (BAZL/EASA) and safety regulations. Drone and scanning operations may be postponed or cancelled due to weather, technical factors or official restrictions. If an operation cannot be executed due to Client-related factors, the Client shall bear the resulting costs.
5. Data, Usage Rights and Intellectual Property
All data, point clouds, images, 3D models, BIM files, analyses and other deliverables produced by drone2bim remain property of drone2bim until full payment is received. Upon full payment, the Client receives a non-exclusive, non-transferable right of use limited to the project purpose. Any disclosure or publication requires written consent. All intellectual property rights remain with drone2bim. drone2bim may use anonymized data internally for quality improvement and AI development.
6. Prices and Payment Terms
All prices are in CHF, excluding VAT. Invoices are payable within 20 calendar days. After expiry of the payment period, the Client enters default without reminder (5% annual interest; reminder and collection fees may apply). drone2bim may suspend services if payments are outstanding. Offers are valid for 30 days unless stated otherwise.
6.1 Third-party Costs
Cost indications for third-party services (e.g., Dalux, Autodesk, Trimble, cloud services) are non-binding estimates, not price guarantees.
6.2 Third-party Liability Disclaimer
drone2bim assumes no liability for price changes, licensing changes, currency fluctuations, technical limitations or functional changes of third-party services.
6.3 Cost Responsibility
The Client bears all actual costs charged by third-party providers unless explicitly agreed otherwise in writing.
7. Deadlines and Delays
Deadlines are binding only if confirmed in writing. Delays due to force majeure, weather, technical issues or regulatory measures entitle drone2bim to extend deadlines. Additional effort resulting from Client changes is invoiced separately.
8. Warranty
drone2bim guarantees professional execution according to industry standards. Measurement and modelling tolerances are technically unavoidable and do not constitute defects. Defects must be reported within 10 days; otherwise, deliverables are deemed accepted. Warranty is limited to rectification if technically feasible and economically reasonable.
9. Liability
drone2bim is liable only for damages caused by intent or gross negligence. No liability exists for indirect or consequential damages, data loss, production downtime, loss of profit or third-party service issues. Liability is limited to the value of the respective contract.
9.1 Third-party Providers
drone2bim is not liable for the performance, functionality, pricing or availability of third-party providers.
10. Data Protection, International Data Processing and Global Workforce
The Client agrees to the processing of personal and project-related data in accordance with Swiss data protection law (DSG). The Client expressly agrees that data may be processed, stored or transmitted outside Switzerland, including through international cloud, software and AI providers.
The Client further agrees that drone2bim’s globally distributed employees and subcontractors may access project-related data to the extent required for service performance.
drone2bim implements appropriate technical and organizational security measures. Confidentiality obligations apply for a minimum of 5 years.
11. Termination and Cancellations
Terminations must be submitted in writing. In case of project termination by the Client, all services rendered and costs incurred must be paid. Cancellations less than 24 hours before operations may be charged. drone2bim may terminate the agreement with immediate effect in case of significant contractual breaches.
12. Final Provisions
Changes to these GTC require written form. Invalid provisions shall be replaced by provisions reflecting the intended purpose. Swiss law applies. Jurisdiction is at the registered office of drone2bim AG. In case of discrepancies, the German version prevails.
PART 2 – WEBSITE TERMS OF USE
1. Introduction
These Website Terms govern the use of the drone2bim website and all interactions related to products and services offered online. Additional agreements take precedence.
2. Acceptance of Terms
By accessing or using the website, the user agrees to these Terms of Use.
3. Electronic Communication
Electronic communication (including email) meets the legal requirement of written form.
4. Intellectual Property
All website content is protected by copyright. No content may be used, reproduced, modified, redistributed, commercially exploited, embedded or reverse-engineered without written permission.
5. Newsletter
Newsletter content may be forwarded electronically to interested individuals.
6. Third-Party Content
The website may contain links to third-party sites. drone2bim assumes no responsibility for external content, privacy practices or services. Use is at the user’s own risk.
7. Responsible Use
It is prohibited to distribute malware, scrape data, use automated data collection tools, overload the system or impair website performance in any way.
8. Submission of Ideas or Content
If a user submits content without a prior IP or confidentiality agreement, the user grants drone2bim a worldwide, irrevocable, non-exclusive, royalty-free licence to use and distribute such content.
9. Modification or Discontinuation
drone2bim may modify or discontinue website features at any time without compensation.
10. Warranty and Liability Disclaimer
The website is provided “as is”. drone2bim provides no warranties regarding availability, accuracy, completeness or suitability. Liability for direct or indirect damages is excluded to the extent permitted by law.
11. Data Protection
Use of certain features may require the submission of accurate and current personal data. The Privacy Policy and Cookie Policy apply.
12. Accessibility
drone2bim aims to make the website accessible. Reported accessibility issues will be reviewed and addressed where technically feasible.
13. Export Restrictions
The website may not be used in violation of Swiss export control laws.
14. Violations
drone2bim may restrict access or initiate legal action in case of violations of these Terms of Use.
15. Force Majeure
Events outside drone2bim’s control do not constitute breaches of the Terms.
16. Indemnification
Users shall indemnify and hold drone2bim harmless from claims arising from unlawful or improper website use.
17. Language
These Website Terms are interpreted exclusively in German, even if translations are provided.
German prevails in all disputes.
18. Entire Agreement
Part 1 and Part 2 of these GTC together form the full agreement governing the use of drone2bim services and website.
19. Updates
drone2bim may update these Terms at any time. The published version is the authoritative one.
20. Governing Law and Jurisdiction
Swiss law applies. Jurisdiction is at the registered office of drone2bim AG.
